Welcome to Talos!

This is a User Agreement between you (“client”, “user” or “your”) and Sprimage Enterprises, its subsidiaries and affiliates (“Talos”, "we," "us," and "our"). By accessing, downloading or using any of our services through www.talos.africa (website), Talos mobile application, and other products or services we offer, you agree that you have read, understood and accepted all of the terms and conditions contained in this Agreement, as well as our Privacy Policy at https://www.talos.africa/privacy. This Agreement is legally binding and serves to govern your use of our services. Please read the terms carefully before using our services as they affect your legal rights and obligations. If you do not agree with any of the terms contained herein, kindly refrain from using our services. The value of Digital Currencies, as with any asset, may change from time to time and there is a substantial risk that you lose money buying, selling, holding, or investing in Digital Currencies. By using our Services, you agree that you are aware of the associated risks and we shall not be liable for any such risks or adverse outcomes.

Registration

To use our services, you must register a Talos Account. At the point of registration, you will be asked to provide your e-mail address, phone number, password, and affirm your acceptance of this Agreement. By using a Talos Account, you agree and represent that you will use Talos for yourself only, and not on behalf of any third party, unless you have obtained prior written approval from us. We may, in our sole discretion, refuse to register an account, revoke account registrations, and/or limit the number of Talos Accounts a single user may establish and maintain at any time. We may also suspend or terminate your account or the trading of specific Digital Currency in your account.

Eligibility

Our services are not directed to, or intended for children under 18. By using our services, you represent that you are at least 18 years old and are able to form legally binding contracts. If as a parent or guardian, you become aware that your child or ward child has provided us with any information without your consent, please email us at info@talos.cafrica

Identity Verification

While registering your Talos Account, you agree to provide us with the required personal information for identity verification or detection of financial crime, and permit us to keep a record of such information. The information we request may include your full name, date of birth, contact details, bank verification number, identification card, and information regarding your bank account. By submitting this personal information, you confirm that the information is accurate and authentic, and you agree to keep us updated if any of the information you provide changes.You authorize us to make inquiries, whether directly or through third parties, that we consider necessary to verify your identity or protect you and/or us against fraud or other financial crime, and to take action we reasonably deem necessary based on the results of such inquiries. Further, you authorize any and all third parties to which such inquiries or requests may be directed to fully respond to such inquiries or requests.

Access

You may access or use our services on your desktop computer, laptop, smartphone, or other mobile devices (each, a “Device”). When you use our services, we collect information sent to us through your device. Access to our Services may become degraded or unavailable during times of significant volatility or volume. As a result, you may be unable to buy or sell for some time. Although we endeavour to provide you with exceptional service, we do not represent that our services will be available without interruption and we do not guarantee that any order will be executed, accepted, recorded, or remain open. We shall not be liable for any losses resulting from or arising out of transaction delays.

Talos Service

Upon completion of registration, Talos will provide you with access to its services, including but not limited to our Digital Currency Wallets (a Network Wallet, and a Spending Wallet). Your Digital Currency Wallet allows you to request, receive, store, track, transfer, and manage your balances of Digital Currency. Talos has the right, in its sole discretion, to provide, modify, or terminate any of its services based on its development plan. Further, Talos could allow or prohibit certain user’s use of any of its services.

Supported Digital Currencies

Your Talos Account is intended solely for proper use of Supported Digital Currencies as designated on the Site. Under no circumstances should you attempt to store, send, request, or receive digital currencies we do not support.

Wallet Data Backup

When you create a Wallet, the Wallet software generates a cryptographic private key that you may use to send and receive any supported Digital Currency via the relevant Digital Currency network. YOU MUST STORE, OUTSIDE OF THE SERVICES, A BACKUP OF ALL WALLET CREDENTIALS, INCLUDING YOUR PASSPHRASES, IDENTIFIERS, BACKUP PHRASES, PRIVATE KEYS AND NETWORK ADDRESSES. If you do not maintain a backup of your Wallet data outside of the Services, you will not be able to access Digital Currency previously accessed using your Wallet in the event that we discontinue or no longer offer some or all of the Services or may otherwise lose access to your Digital Currency. We are not responsible for maintaining this data on your behalf.

Digital Currency Custody

The Network Wallet will generally be made available on a non-custodial basis enabling you to self-custody your Digital Currency. All Digital Currency held in your Spending Wallet will be custodial assets held on trust by Talos for your benefit.

Ownership

Title to the Digital Currency shall at all times remain with you and shall not transfer to Talos. As the owner of Digital Currency in your Spending Wallet, you shall bear all risk of loss of such Digital Currency. Talos shall not have any liability for fluctuations in the fiat currency value of Digital Currency held in your Spending Wallet. None of the Digital Currencies in your Digital Currency Wallet are the property of, or shall or may be loaned to, Talos; Talos does not represent or treat assets in User’s Digital Currency Wallets as belonging to Talos. Talos may not grant a security interest in the Digital Currency held in your Digital Currency Wallet. Except as required by a valid court order, or except as provided herein, Talos will not sell, transfer, loan, hypothecate, or otherwise alienate Digital Currency in your Digital Currency Wallet unless instructed by you.

Control

You control the Digital Currency held in your Spending Wallet. At any time, subject to outages, downtime, and other applicable policies, you may withdraw your Digital Currency by sending it to a different blockchain address controlled by you or a third party.

Cancellation

You may not cancel, reverse or change any transaction in the Spending Wallet. We may suspend, delay, redirect, reverse or cancel any transaction at any time and for any reason. For example, and without limitation, we may do so if we suspect any risk of fraud, crime, breach of this User Agreement, or illicit activity. You will bear the costs of any network fees charged in respect of such suspension, delay, redirection, reversal or cancellation.

Transaction Limitation

We may implement transaction limits in the Spending Wallet. These may vary based on a variety of factors, including, without limitation, the time of your transaction, your location, the Digital Currency purchased, and the Digital Currency sold. We implement, raise and lower transaction limits in the Spending Wallet in our sole discretion

Negative Balances

If you reverse a payment instruction initiated with your bank, payment services provider or equivalent or part of a transaction fails for any reason which results in your Spending Wallet having a negative balance, we may liquidate any assets held in any account you hold with us (including the User Accounts) to offset and reduce the negative balance. You remain fully responsible for settling the balance and we may engage debt collectors to pursue any outstanding debt on our behalf.

Wallet Risk Disclosures

In order to be successful, any Digital Currency transaction created with the Wallet must be confirmed and recorded in the Digital Currency ledger associated with the relevant Digital Currency network. Such networks are decentralised, peer-to-peer networks supported by independent third parties, which are not owned, controlled or operated by Talos.africa. We have no control over any Digital Currency network and therefore cannot and does not ensure that any transaction details you submit via our Services will be confirmed on the relevant Digital Currency network. The transaction details you submit via our Services may not be completed, or may be substantially delayed, by the Digital Currency network used to process the transaction. We do not guarantee that the Wallet can transfer title or right in any Digital Currency or make any warranties whatsoever with regard to title.

Password

We do not receive or store your Wallet password, nor any keys, network addresses or transaction history. We cannot assist you with Wallet password retrieval. You are solely responsible for remembering, storing and keeping secret your Wallet password. Any Digital Currency you have associated with such Wallet may become inaccessible if you do not know or keep secret your Wallet password. Any third party with knowledge of one or more of your credentials (including, without limitation, a backup phrase, wallet identifier or password) can dispose of Digital Currency in your Wallet When you create a Wallet, you must:

  • (a) create a strong password that you do not use for any other website or online service;
  • (b) provide accurate and truthful information;
  • (c) protect and keep secret all credentials for the Wallet;
  • (d) protect access to your device and your Wallet;
  • (e) promptly notify us if you discover or otherwise suspect any security breaches related to your Wallet; and
  • (f) use the backup functionality provided through the Wallet and safeguard your backup files.

You agree to take responsibility for all activities that occur with your Wallet and accept all risks of any authorised or unauthorised access to your Wallet, to the maximum extent permitted by law.

Fees

We do not currently charge a fee for the Wallet receiving, sending or controlling Digital Currency. However, we reserve the right to charge a fee in the future and will display our applicable fees on our Website.
Network fees required to use a Digital Currency network may apply to a transaction. We may attempt to calculate such a fee for you. Our calculation may not be sufficient, or it may be excessive. You may select a greater or lesser fee. You are solely responsible for selecting and paying any such fee and Talos shall neither advance nor fund such a fee on your behalf, nor be responsible for any excess or insufficient fee calculation.

License

We grant you a limited, revocable, royalty-free, non-exclusive, non-transferable license, to access and use and non-sublicensable license to access and use Talos Services through your devices for your personal/internal purposes subject to the terms of this Agreement. You are prohibited from using Talos Services for resale or commercial purposes, including transactions on behalf of other persons or entities. You are only permitted to use the Talos services and related content, materials, information (collectively, the "Content") solely for approved purposes as permitted by Talos from time to time. Any other use of Talos Services or Content is expressly prohibited and all other right, title, and interest in Talos Services or Content is exclusively the property of Talos and its licensors. You agree you will not copy, transmit, distribute, sell, license, reverse engineer, modify, publish, or participate in the transfer or sale of, create derivative works from, or in any other way exploit any of the Content, in whole or in part. “Talos” and all logos related to Talos Services or displayed on the Talos Site are either trademarks or registered marks of Talos or its licensors. You may not copy, imitate or use them without Talos's prior written consent.
You agree that when you use Talos Services, Talos does not transfer Talos Services or the ownership or intellectual property rights of any Talos intellectual property to you or anyone else. All the text, graphics, user interfaces, visual interface, photos, sounds, process flow diagrams, computer code (including html code), programs, software, products, information and documents, as well as the design, structure, selection, coordination, expression, look and feel, and layout of any content included in the services or provided through Talos Services, are exclusively owned, controlled and/or licensed by Talos Operators or its members, parent companies, licensors or affiliates. Talos owns any feedback, suggestions, ideas, or other information or materials (hereinafter collectively referred to as “Feedback”) about Talos or Talos Services that you provide through email, Talos Services, or other ways. You hereby transfer all rights, ownership and interests of the Feedback and all related intellectual property rights to Talos. You have no right and hereby waive any request for acknowledgment or compensation based on any Feedback, or any modifications based on any Feedback.

Website Accuracy

Although we intend to provide accurate and timely information on the Talos Site, the Talos Site (including, without limitation, the Content) may not always be entirely accurate, complete or current and may also include technical inaccuracies or typographical errors. In an effort to continue to provide you with as complete and accurate information as possible, information may be changed or updated from time to time without notice, including without limitation information regarding our policies, products and services. Accordingly, you should verify all information before relying on it, and all decisions based on information contained on the Talos Site are your sole responsibility and we shall have no liability for such decisions. Links to third-party materials (including without limitation websites) may be provided as a convenience but are not controlled by us. You acknowledge and agree that we are not responsible for any aspect of the information, content, or services contained in any third-party materials or on any third-party sites accessible or linked to the Talos Site.

Promotions

From time to time, Talos may make available special offers or conduct promotions for qualifying customers. Subject to applicable laws, Talos or the issuer of a Digital Currency subject to an offer or promotion may establish qualifying criteria to participate in any special promotion its sole discretion. Talos may revoke any special offer at any time without notice. Once Digital Currency has been deposited in a user’s Digital Currency Wallet, that Digital Currency becomes the property of the Talos user with all applicable property rights. Talos shall have no obligation to make special offers available to all customers. Talos makes no recommendation and does not provide any advice about the value or utility of any Digital Currency subject to a promotion.

Third Party Application

If, to the extent permitted by Talos from time to time, you grant express permission to a third party to access or connect to your Talos Account, either through the third party's product or service or through the Talos Site, you acknowledge that granting permission to a third party to take specific actions on your behalf does not relieve you of any of your responsibilities under this Agreement. You are fully responsible for all acts or omissions of any third party with access to your Talos Account. Further, you acknowledge and agree that you will not hold Talos responsible for, and will indemnify Talos from, any liability arising out of or related to any act or omission of any third party with access to your Talos Account.

Prohibited Use

In connection with your use of the Talos Services, and your interactions with other users, and third parties you agree and represent you will not engage in any Prohibited Business or Prohibited Use defined herein. We reserve the right at all times to monitor, review, retain and/or disclose any information as necessary to satisfy any applicable law, regulation, sanctions programs, legal process or governmental request. We reserve the right to cancel and/or suspend your Talos Account and/or block transactions or freeze funds immediately and without notice if we determine, in our sole discretion, that your Account is associated with a Prohibited Use and/or a Prohibited Business.

Export Controls & Sanctions

Your use of the Talos Services and the Talos Site is subject to international export controls and economic sanctions requirements. By sending, receiving, buying, selling, trading or storing Digital Currency through the Talos Site or Talos Services, you represent and warrant that you will conform with those requirements.

Transactions Limits

The use of all Talos Services is subject to a limit on the amount of volume, stated in Fiat Currency terms, you may transact or transfer in a given period (e.g., daily). Your transaction limits may vary depending on your payment method, financial institution and other factors. To find out your limits, please contact your financial institution.

Suspension, Termination, and Cancellation

Talos may:

  • (a) suspend, restrict, or terminate your access to any or all of the Talos Services, and/or
  • (b) deactivate or cancel your Talos Account if:

We are so required by a facially valid subpoena, court order, or binding order of a government authority; or We reasonably suspect you of using your Talos Account in connection with a Prohibited Use or Business; or Use of your Talos Account is subject to any pending litigation, investigation, or government proceeding and/or we perceive a heightened risk of legal or regulatory non-compliance associated with your Account activity; or Our service partners are unable to support your use; or You take any action that Talos deems as circumventing Talos's controls, including, but not limited to, opening multiple Talos Accounts or abusing promotions which Talos may offer from time to time.
If Talos suspends or closes your account, or terminates your use of Talos Services for any reason, we will provide you with notice of our actions unless a court order or other legal process prohibits Talos from providing you with such notice. You acknowledge that Talos's decision to take certain actions, including limiting access to, suspending, or closing your account, may be based on confidential criteria that are essential to Talos's risk management and security protocols. You agree that Talos is under no obligation to disclose the details of its risk management and security procedures to you.
You will be permitted to transfer Digital Currency or funds associated with your Hosted Digital Currency Wallet(s) and/or your Currency Wallet(s) for ninety (90) days after Account deactivation or cancellation unless such transfer is otherwise prohibited (i) under the law, including but not limited to applicable sanctions programs, or (ii) by a facially valid subpoena or court order. If Talos suspends or closes your account, or terminates your use of Talos Services for any reason Talos reserves the right to require you to complete the Verification Procedures before permitting you with transfer or withdraw Digital Currency or Fiat Currency. Right now, you cannot cancel or deactivate your Talos Account. In the event whereby you wish to, please contact us at info@Talos.africa. If you’re sending a cancellation request, you authorise us to cancel or suspend any pending transactions at the time of cancellation.

Relationship of the Parties

Talos is an independent contractor for all purposes. Nothing in this Agreement shall be deemed or is intended to be deemed, nor shall it cause, you and Talos to be treated as partners, joint ventures, or otherwise as joint associates for profit, or either you or Talos to be treated as the agent of the other.

Password Security: Contact Information

You are responsible for maintaining adequate security and control of any and all IDs, passwords, hints, Bank Verification Numbers (BVNs), API keys or any other codes that you use to access the Talos Services. Any loss or compromise of the foregoing information and/or your personal information may result in unauthorised access to your Talos Account by third-parties and the loss or theft of any Digital Currency and/or funds held in your Talos Account and any associated accounts, including your linked bank account(s) and credit/debit card(s). You are responsible for keeping your email address and telephone number up to date in your Account Profile in order to receive any notices or alerts that we may send you. We assume no responsibility for any loss that you may sustain due to compromise of account login credentials due to no fault of Talos and/or failure to follow or act on any notices or alerts that we may send to you. In the event you believe your Talos Account information has been compromised, contact Talos Support immediately at info@Talos.africa.

Taxes

It is your sole responsibility to determine whether, and to what extent, any taxes apply to any transactions you conduct through the Talos Services, and to withhold, collect, report and remit the correct amounts of taxes to the appropriate tax authorities. Your transaction history is available through your Talos Account.

Unclaimed Property

If Talos is holding funds in your account, and Talos is unable to contact you and has no record of your use of the Services for several years, applicable law may require Talos to report these funds as unclaimed property to the applicable jurisdiction. If this occurs, Talos will try to locate you at the address shown in our records, but if Talos is unable to locate you, it may be required to deliver any such funds to the applicable or jurisdiction as unclaimed property. Talos reserves the right to deduct a dormancy fee or other administrative charges from such unclaimed funds, as permitted by applicable law.

When you contact us, please provide us with your name, address, and any other information we may need to identify you, your Talos Account, and the transaction on which you have feedback, questions, or complaints.

Complaints

In the event of a complaint, please set out the cause of your complaint, how you would like us to resolve the complaint and any other information you believe to be relevant. We will acknowledge your complaint within 24-48 hours of its receipt if you contact us via our Customer Support webpage or email us at info@Talos.africa. A Customer Support officer ("Officer") will consider your complaint without prejudice based on the information you have provided and any information provided by Talos.

Notice of Claim

Please contact Talos first! Talos wants to address your concerns without resorting to formal legal proceedings, if possible. If you have a dispute with Talos, then you should contact Talos. Talos will attempt to resolve your dispute internally as soon as possible. The parties agree to negotiate in good faith to resolve the dispute (which discussions shall remain confidential and be subject to applicable rules protecting settlement discussions from use as evidence in any legal proceeding).

In the event the dispute cannot be resolved satisfactorily, and you wish to assert a legal claim against Talos, then you agree to set forth the basis of such claim in writing in a “Notice of Claim,” as a form of prior notice to Talos. The Notice of Claim must: (1) describe the nature and basis of the claim or dispute, (2) set forth the specific relief sought, and (3) include your Talos account email. The Notice of Claim should be submitted to an email address or hyperlink provided in your correspondence with Talos. After you have provided the Notice of Claim to Talos, the dispute referenced in the Notice of Claim may be submitted by either Talos or you to arbitration. For the avoidance of doubt, the submission of a dispute to Talos for resolution internally and the delivery of a Notice of Claim to Talos are prerequisites to commencement of an arbitration proceeding (or any other legal proceeding). During the arbitration, the amount of any settlement offer made by you or Talos shall not be disclosed to the arbitrator.

Agreement to Arbitrate

You and Talos agree that, subject to the “Notice of Claim” above, any dispute, claim, or controversy between you and Talos (and/or Talos Operators) arising in connection with or relating in any way to these Terms or to your relationship with Talos as a user of Talos Services (whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and whether the claims arise during or after the termination of these Terms) will be determined by mandatory final and binding individual (not class) arbitration, except as set forth below under Exceptions to Agreement to Arbitrate. You and Talos further agree that the arbitrator shall have the exclusive power to rule on his or her own jurisdiction, including without limitation any objections with respect to the existence, scope or validity of the Agreement to Arbitrate, or to the arbitrability of any claim or counterclaim. The arbitrator must follow this agreement and can award the same damages and relief as a court (including, if applicable, attorney fees), except that the arbitrator may not award declaratory or injunctive relief in favour of anyone but the parties to the arbitration. The arbitration provisions set forth in this Section will survive termination of these Terms.

Arbitration Rules

The arbitration shall be subject to the Lagos State Arbitration Law and Lagos Court of Arbitration Rules in force when the Notice of Arbitration is submitted. The arbitration will be administered by the Lagos Court of Arbitration. Unless the parties agree otherwise, there shall be only one arbitrator appointed in accordance with the LCA Rules. Any arbitration will be conducted in the English language. Regardless of the manner in which the arbitration is conducted, the arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the decision and award, if any, are based. JUDGMENT ON ANY ARBITRAL AWARD MAY BE GIVEN IN ANY COURT HAVING JURISDICTION OVER THE PARTY (OR OVER THE ASSETS OF THE PARTY) AGAINST WHOM SUCH AN AWARD IS RENDERED. Time for Filing: ANY ARBITRATION AGAINST TALOS OPERATORS MUST BE COMMENCED BY FILING A REQUEST FOR ARBITRATION WITHIN ONE (1) YEAR, AFTER THE DATE THE PARTY ASSERTING THE CLAIM FIRST KNOWS OR REASONABLY SHOULD KNOW OF THE ACT, OMISSION OR DEFAULT GIVING RISE TO THE CLAIM; AND THERE SHALL BE NO RIGHT TO ANY REMEDY FOR ANY CLAIM NOT ASSERTED WITHIN THAT TIME PERIOD. THIS ONE YEAR LIMITATION PERIOD IS INCLUSIVE OF THE INTERNAL DISPUTE RESOLUTION PROCEDURE SET FORTH IN PARAGRAPH 1 OF THIS SECTION, ABOVE. THERE SHALL BE NO RIGHT TO ANY REMEDY FOR ANY CLAIM NOT ASSERTED WITHIN THAT TIME PERIOD. If applicable law prohibits a one-year limitation period for asserting claims, any claim must be asserted within the shortest time period permitted by applicable law.

Request for Arbitration

The party who intends to seek arbitration must submit a request to the Lagos Court of Arbitration in accordance with the LCA Rules. If we request arbitration against you, we will give you notice at the email address or mailing address you have provided. You agree that any notice sent to this email or mailing address shall be deemed effective for all purposes, including without limitation to determinations of adequacy of service. It is your obligation to ensure that the email address and/or mailing address on file with Talos is up-to-date and accurate.

Seat of Arbitration

The seat of the arbitration shall be Lagos

Place of Hearing

The location of any in-person arbitration hearing shall be Lagos, unless otherwise agreed by the parties.

Confidentiality

The parties agree that the arbitration shall be kept confidential. The existence of the arbitration, any non-public information provided in the arbitration, and any submissions, orders or awards made in the arbitration (together, the “Confidential Information”) shall not be disclosed to any non-party except the tribunal, the LCA, the parties, their counsel, experts, witnesses, accountants and auditors, insurers and reinsurers, and any other person necessary to the conduct of the arbitration. Notwithstanding the foregoing, a party may disclose Confidential Information to the extent that disclosure may be required to fulfill a legal duty, protect or pursue a legal right, or enforce or challenge an award in bona fide legal proceedings. This confidentiality provision shall survive termination of these Terms and of any arbitration brought pursuant to these Terms.

Class Action Waiver

You and Talos agree that any claims relating to these Terms or to your relationship with Talos as a user of Talos Services (whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and whether the claims arise during or after the termination of these Terms) shall be brought against the other party in an arbitration on an individual basis only and not as a plaintiff or class member in a purported class or representative action. You and Talos further agree to waive any right for such claims to be brought, heard, or arbitrated as a class, collective, representative, or private attorney general action, to the extent permissible by applicable law. Combining or consolidating individual arbitrations into a single arbitration is not permitted without the consent of all parties, including Talos.

Non-Compliance

You agree to use the complaints procedure in this Terms. Failure to comply with this provision may be used as evidence of your unwillingness to settle the issue and/or the vexatious nature of the complaint.

Computer Viruses

We shall not bear any liability, whatsoever, for any damage or interruptions caused by any computer viruses, spyware, scareware, Trojan horses, worms or other malware that may affect your computer or other equipment, or any phishing, spoofing or other attack. We advise the regular use of a reputable and readily available virus screening and prevention software. You should also be aware that SMS and email services are vulnerable to spoofing and phishing attacks and should use care in reviewing messages purporting to originate from Talos. Always log into your Talos Account through the Talos Site to review any transactions or required actions if you have any uncertainty regarding the authenticity of any communication or notice.

Release of Talos; Indemnification

If you have a dispute with one or more users of the Talos services, you release Talos, its affiliates and service providers, and each of their respective officers, directors, agents, joint venturers, employees and representatives from any and all claims, demands and damages (actual and consequential) of every kind and nature arising out of or in any way connected with such disputes. You agree to indemnify and hold Talos, its affiliates and Service Providers, and each of its or their respective officers, directors, agents, joint venturers, employees and representatives, harmless from any claim or demand (including attorneys' fees and any fines, fees or penalties imposed by any regulatory authority) arising out of or related to your breach of this Agreement or your violation of any law, rule or regulation, or the rights of any third party.

Limitation of Liability

IN NO EVENT SHALL Talos, ITS AFFILIATES AND SERVICE PROVIDERS, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, AGENTS, JOINT VENTURERS, EMPLOYEES OR REPRESENTATIVES, BE LIABLE (A) FOR ANY AMOUNT GREATER THAN THE VALUE OF THE SUPPORTED DIGITAL CURRENCY ON DEPOSIT IN YOUR Talos ACCOUNT OR (B) FOR ANY LOST PROFITS OR ANY SPECIAL, INCIDENTAL, INDIRECT, INTANGIBLE, OR CONSEQUENTIAL DAMAGES, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH AUTHORIZED OR UNAUTHORIZED USE OF THE Talos SITE OR Talos SERVICES, OR THIS AGREEMENT, EVEN IF AN AUTHORIZED REPRESENTATIVE OF Talos HAS BEEN ADVISED OF OR KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES. THIS MEANS, BY WAY OF EXAMPLE ONLY (AND WITHOUT LIMITING THE SCOPE OF THE PRECEDING SENTENCE), THAT IF YOU CLAIM THAT Talos FAILED TO PROCESS A BUY OR SELL TRANSACTION PROPERLY, YOUR DAMAGES ARE LIMITED TO NO MORE THAN THE VALUE OF THE SUPPORTED DIGITAL CURRENCY AT ISSUE IN THE TRANSACTION, AND THAT YOU MAY NOT RECOVER FOR LOST PROFITS, LOST BUSINESS OPPORTUNITIES, OR OTHER TYPES OF SPECIAL, INCIDENTAL, INDIRECT, INTANGIBLE, OR CONSEQUENTIAL DAMAGES IN EXCESS OF THE VALUE OF THE SUPPORTED DIGITAL CURRENCY AT ISSUE IN THE TRANSACTION.SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. Talos SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY REPRESENTATION OR WARRANTY, WHETHER EXPRESS, IMPLIED OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Talos SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT. Talos DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES THAT ACCESS TO THE SITE, ANY PART OF THE Talos SERVICES, OR ANY OF THE MATERIALS CONTAINED THEREIN, WILL BE CONTINUOUS, UNINTERRUPTED, TIMELY, OR ERROR-FREE.
Talos makes no representations about the accuracy or completeness of historical Digital Currency price data available on the Site. Talos will make reasonable efforts to ensure that requests for electronic debits and credits involving bank accounts and debit cards are processed in a timely manner but Talos makes no representations or warranties regarding the amount of time needed to complete processing which is dependent upon many factors outside of our control.

Entire Agreement

These Terms constitute the entire agreement between the parties regarding use of Talos Services and will supersede all prior written or oral discussions, understandings and agreements between the parties.

Amendments

Talos reserves the right to alter, revise, modify, and/or change these Terms at any time. All changes will take effect immediately upon being published on Talos websites. If you do not agree with any such modification, your sole and exclusive remedy is to terminate your use of Talos Services and request to close your account. You agree that we shall not be liable to you or any third party for any modification or termination of Talos Services, or suspension or termination of your access to Talos Services, except to the extent otherwise expressly set forth herein. If the revised Agreement includes a material change, we will endeavour to provide you advanced notice via our website and/or email before the material change becomes effective.

Assignment

You may not assign any rights and/or licenses granted under this Agreement. We reserve the right to assign our rights without restriction, including without limitation to any Talos affiliates or subsidiaries, or to any successor in interest of any business associated with Talos Services. Any attempted transfer or assignment by you in violation hereof shall be null and void. Subject to the foregoing, this Agreement will bind and inure to the benefit of the parties, their successors and permitted assigns.

Severability

If any portion of these Terms is held invalid or unenforceable, such invalidity or enforceability will not affect the other provisions of these Terms, which will remain in full force and effect, and the invalid or unenforceable portion will be given effect to the greatest extent possible.

Change of Control

In the event that Talos is acquired by or merged with a third party entity, we reserve the right, in any of these circumstances, to transfer or assign the information we have collected from you as part of such merger, acquisition, sale, or other change of control.

Survival

All provisions of this Agreement which by their nature extend beyond the expiration or termination of this Agreement, including, without limitation, sections pertaining to suspension or termination, Talos Account cancellation, debts owed to Talos, general use of the Talos Services, disputes with Talos, and general provisions, shall survive the termination or expiration of this Agreement.

Time Limitation on Claims

You agree that any claim you may have arising out of or related to your relationship with us must be filed within one year after such claim arises, otherwise, your claim is permanently barred.

Governing Law

The Laws of the Federal Republic of Nigeria will govern these Terms and the parties’ relationship.

Force Majeure

We shall not be liable for delays, failure in performance or interruption of service which result directly or indirectly from any cause or condition beyond our reasonable control, including but not limited to, any delay or failure due to any act of God, act of civil or military authorities, act of terrorists, civil disturbance, war, strike or other labour dispute, fire, interruption in telecommunications or Internet services or network provider services, failure of equipment and/or software, other catastrophe or any other occurrence which is beyond our reasonable control and shall not affect the validity and enforceability of any remaining provisions.
